1. Acceptance of Terms

These Terms of Use (“Terms”) govern access to and use of the Coral platform (“Platform,” “Service”) operated by Coral, [LLC/Inc.] (“Coral,” “Company,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

This agreement is intended for business use by licensed healthcare providers, revenue cycle management firms, consultants, and related entities.

2. Description of Services

Coral provides a cloud-based software platform designed to support medical insurance billing workflows in dental practices.

The Platform may:

  • Assist with structured clinical documentation

  • Surface contextual coding suggestions

  • Organize claim-related data

  • Facilitate electronic submission to clearinghouses

  • Provide claim status and remittance information

Coral does not:

  • Provide medical advice

  • Replace clinical judgment

  • Guarantee reimbursement outcomes

  • Act as the billing provider

  • Independently adjudicate claims

All final decisions regarding diagnoses, procedures, coding, and claim submission remain the responsibility of the licensed provider or authorized billing professional.

3. Eligibility & Authorized Use

The Platform is intended for use by:

  • Licensed dental professionals

  • Authorized billing personnel

  • RCM firms and consultants

  • Dental Service Organizations (DSOs)

Users must have proper authorization to submit claims on behalf of the identified provider.

You agree not to:

  • Use the Service for unlawful purposes

  • Submit fraudulent claims

  • Misrepresent provider identity

  • Attempt unauthorized access to other accounts

4. HIPAA & Protected Health Information (PHI)

If applicable, Coral will enter into a Business Associate Agreement (BAA) with covered entities.

Coral acts as a business associate where applicable and implements administrative, technical, and physical safeguards designed to protect PHI in accordance with HIPAA.

Users remain responsible for:

  • Ensuring lawful use of PHI

  • Obtaining required patient consents

  • Maintaining compliance with all healthcare regulations

5. Accounts & Security

Users are responsible for:

  • Maintaining account confidentiality

  • Restricting unauthorized access

  • Promptly notifying Coral of suspected breaches

Coral may suspend access in the event of suspected misuse or security concerns.

6. Intellectual Property

All intellectual property in the Platform, including software, documentation, workflows, and branding, remains the property of Coral.

Users receive a limited, non-exclusive, non-transferable license to use the Platform during the term of service.

7. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

Coral makes no warranties regarding:

  • Claim approval

  • Reimbursement amounts

  • Payer decisions

  • Regulatory outcomes

Healthcare billing involves payer-specific rules and discretion beyond Coral’s control.

8. Limitation of Liability

To the fullest extent permitted by law:

Coral shall not be liable for indirect, incidental, special, or consequential damages arising from use of the Platform.

Coral’s total liability shall not exceed the amount paid for services during the preceding 12 months.

9. Termination

Coral may suspend or terminate access for:

  • Breach of these Terms

  • Misuse of the Platform

  • Regulatory concerns

Users may terminate use at any time subject to contractual terms.

10. Governing Law

These Terms shall be governed by the laws of the State of [State], without regard to conflict of law principles.
